1. Eligibility:

Intuit Small Business Big Game (the "Promotion") is open only to legal residents of the fifty (50) United States (including the District of Columbia) who are at least eighteen (18) years old (or the age of majority in their state of residence) and are owners of a currently active, lawful small business ("Small Business") at the time of entry. An employee of an eligible Small Business may enter on behalf of the Small Business only if he/she has express permission to do so from its owner. The Small Business must have no more than fifty (50) full-time permanent employees as of the start of the Promotion. The Promotion consists of a Contest (the "Contest") and a Sweepstakes (the "Sweepstakes"). A Small Business that manufactures beer may participate in this Promotion but will not be eligible to receive a Contest prize.

Employees of Intuit Inc., their partner agencies, and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible to participate or win. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.

3. Agreement to Official Rules:

Participation in this Promotion constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to this Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. Timing:

The Promotion begins on July 31, 2013 at 12:00 a.m. Pacific Time ("PT") and ends on December 1, 2013 at 11:59 p.m. PT (the "Promotion Period").

The Contest consists of five (5) phases as outlined in the chart below.

5. How to Participate in Round 1 of the Promotion:

During Round 1, visit www.SmallBusinessBigGame.com, click “Enter Now” and follow instructions to complete and submit the story of your Small Business. Your story must be described in six hundred (600) characters or fewer (your "Initial Submission"). You will also be required to complete a registration form including your first and last name, business email address, business name, and other details about your Small Business. You may optionally submit a photo to accompany your Initial Submission, but the photo will not be considered by Sponsor for winner determination.

Initial Submissions must be consistent with the Guidelines and Content Restrictions as described below in Section 7. Sponsor, in its sole discretion, may remove your Submission and disqualify you from the Contest if it believes that your Submission fails to conform to the Guidelines and Restrictions. For submitting your Initial Submission that meets these Guidelines and Restrictions, you will be entered into Round 1 of the Contest, and you will receive one (1) entry into the applicable Round 1 Weekly Entry Period drawing. You will also receive an entry into all subsequent Round 1 Weekly Entry Period drawings. Limit: Each Small Business may enter the Contest one (1) time during the Round 1, and will not be permitted to edit its Initial Submission once submitted. Initial Submissions received from any person or email address in excess of the stated limit will be void. Initial Submissions generated by script, macro or other automated means are void. In the event of a dispute regarding any Submission, the authorized account holder of the email address used to register will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

QuickBooks Online Offer: Each entrant who submits an Initial Submission will receive an offer for the QuickBooks Big Game Bundle. Offer expires October 15, 2013. Offer cannot be combined with any other QuickBooks Online, QuickBooks Payroll, or QuickBooks Payments offer and valid for new QuickBooks Online, QuickBooks Payroll, and QuickBooks Payment customers only. Discounted price requires completion of applications for all three products; QuickBooks Payments must be turned on separately within the first 30 days of enrollment. The first thirty (30) days of subscription to all three products starting from the date of enrollment, is free. Transaction fees apply for QuickBooks Payments. After first thirty (30) days, the following twelve (12) months of all monthly service fees will be at a 50% discount; discount not applicable to transaction fees for QuickBooks Payments or per employee fees for QuickBooks Payroll, and thereafter pricing will be charged at the then-current regular price. You will be asked to present a valid credit card for authorization to continue using QuickBooks Online and QuickBooks Payroll; cancel at any time by calling 866-272-8734. To use QuickBooks Payments, application approval required and you will be automatically charged the discounted monthly fee immediately following the trial unless you cancel; cancel at any time by calling (800) 558-9558.

Additional Payroll fees: each employee you pay is an additional $1.50/month. If you file taxes in more than one state, each additional state is $12/month.

Additional Payments fees: Transaction fees and discount rates apply. Qualified rate of 1.69% plus $0.29 will be applied to all qualified swiped Visa/MasterCard/Discover network transaction and requires an optional USB or mobile card reader, sold separately. Mid Qualified rate of 2.52% plus $0.29 will be applied to all qualified manually keyed Visa/MasterCard/Discover network transactions that have verified addresses. All Visa/MasterCard/Discover network transactions that do not meet the requirements stated above, will be charged a non-qualified rate of 3.96% and $0.36. Additional fees may apply for specific occurrences (including chargeback and/or retrieval fees) and will apply when accepting cards other than Visa, MasterCard and Discover® Network, including American Express and Diners Club Cards. Transactions are subject to Association guidelines. All terms and conditions, features, support, pricing and service options subject to change without notice.

Public Voting: During Round 1, Initial Submissions will be posted in an online gallery for public voting at www.SmallBusinessBigGame.com. The general public will be invited and are permitted to vote for the Submissions they believe have the most public appeal. The public vote tallies will be the primary determinant of which Small Businesses are invited to participate in Round 2 of the Promotion. The public vote tallies for each Initial Submission will also be used to determine the Public Appeal score included in the Judging Criteria described below. Limit: Each person may vote one (1) time per day per Initial Submission during Round 1. Any attempt by any entrant or voter to obtain votes by any fraudulent or inappropriate means, including without limitation, offering prizes or other inducements to members of the public as determined by Sponsor in its sole discretion, by using any automated program, by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void those votes for the entrant and entrant may be disqualified as determined by Sponsor in its sole discretion. Multiple votes received from any person or email address in excess of this stated number will be void. Sponsor reserves the right, in its sole discretion, to revise voting tallies or not consider the score for Public Appeal should the voting appear to have been tampered with or manipulated in any way.

Round 1 Contest Determination: At the end of Round 1, Sponsor will select up to fifty thousand two hundred fifty (50,250) Small Businesses that it will invite to participate in Round 2 of the Promotion based on the following process: The fifty thousand (50,000) Initial Submissions that have received the highest number of valid votes will be invited to participate in Round 2. If there are less than fifty thousand (50,000) qualified Initial Submissions, all entrants will be invited to participate in Round 2.

In the event of a tie among the Submissions that had the top fifty thousand vote tallies, the tied Submissions will each be judged based on the criteria described below. The Small Businesses whose Submission receives the highest scores will be invited to move forward to Round 2.

A panel of qualified judges determined by Sponsor in its sole discretion will review the Initial Submissions that did not qualify to participate in Round 2 based on their vote tallies and will select up to two hundred fifty (250) Small Businesses with the highest-scoring Initial Submissions from among all eligible applicable Initial Submissions based on the following criteria (“Judging Criteria”):

In the event of a tie among those Small Businesses whose Submissions have been judged, the Small Business whose Submission received the highest score for "Business has a compelling Story and Initial Submission demonstrates passion for his/her business," as determined by the qualified judges, in their sole discretion, will be deemed the Small Business that will be invited to participate in Round 2. Sponsor reserves the right to select fewer than two hundred fifty (250) Small Businesses to be included in Round 2, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions.

Sponsor will send email notifications to all Small Businesses invited to participate in Round 2 the week of September 23, 2013.

Sweepstakes Drawings for Round 1: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes drawings and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. Administrator will randomly select the potential Weekly winners from all eligible entries received during each applicable Weekly Entry Period, on or around the dates listed in the chart above. Non-winning entries will be included in subsequent Weekly Entry Period drawings. The potential winners will be notified by email or phone when selected. Small Businesses may win one (1) Sweepstakes prize and one (1) Contest prize.

6. How to participate in Round 2 of the Promotion:

Small Businesses that are invited to participate in Round 2 will receive an email invitation from Sponsor to log-in to the www.SmallBusinessBigGame.com (using Facebook account information) to create Round 2 Submissions regarding their Small Business. The Round 2 Submission will consist of one (1) mandatory video component and four (4) optional text/photo components, each responding to specific questions regarding your Small Business.

As in Round 1, all Round 2 Submissions must meet the Guidelines and Content Restriction as described below in Section 7. Sponsor, in its sole discretion, may remove your Submission and disqualify you from the Contest if it believes that your Submission fails to conform to the Guidelines and Restrictions.

Small Businesses must create a video responding to the specific question(s) posed to be considered to move forward in the Contest but are not required to create additional Submissions answering the other (4) questions. For logging-in to the www.SmallBusinessBigGame.com during Round 2, you will receive one (1) entry into the applicable Round 2 Weekly Entry Period drawing and one (1) entry into the NYC Trip Prize drawing. Limit: One (1) Sweepstakes entry per Weekly Entry Period.

Public Voting: During Round 2, Submissions will be posted in an online gallery for public voting at www.SmallBusinessBigGame.com. The general public will be invited and are permitted to vote for the Small Businesses included in Round 2 of the Contest that they believe have public appeal. The public voting for each Submission will be used to determine the Public Appeal score included in the Judging Criteria described below for Top Twenty (20) Semi-Finalist determination. Limit: Each person may vote one (1) time per day per Submission during Round 2. Any attempt by any entrant or voter to obtain votes by any fraudulent or inappropriate means, including without limitation, offering prizes or other inducements to members of the public as determined by Sponsor in its sole discretion, by using any automated program, by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void those votes for the entrant and entrant may be disqualified as determined by Sponsor in its sole discretion. Multiple votes received from any person or email address in excess of this stated number will be void. Sponsor reserves the right, in its sole discretion, to revise voting tallies or not consider the score for Public Appeal should the voting appear to have been tampered with or manipulated in any way.

Top Twenty (20) Semi-Finalist Determination by Sponsor: A panel of qualified judges determined by Sponsor in its sole discretion will review all Submissions created by eligible Round 2 Small Businesses and select up to twenty (20) Small Businesses with the highest-scoring Submissions (the "Semi-Finalists") from among all eligible Round 2 Small Businesses based on the following Judging Criteria:

In the event of a tie, the Small Business whose Submission received the highest score for "Small Business appropriately represents the Sponsor as a Brand Ambassador" as determined by the qualified judges, in their sole discretion, will be deemed the applicable potential Semi-Finalist. Sponsor reserves the right to select fewer than twenty (20) Semi-Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions during Round 2.

Semi-Finalist Notification and Background Checks: On or around October 16, 2013, Administrator will notify each Small Business that may be a top twenty (20) Semi-Finalist. In order to be considered to move forward in the Contest, each potential Semi-Finalist will be required to agree to a confidential background check by the Sponsor, to confirm eligibility, and to confirm availability for the following: (1) Interviews with the Sponsor (for a full day) during the week of November 4, 2013 to prepare Small Business for upcoming media attention; (2) Up to five (5) days (specific days to be determined by Sponsor) during the month of December 2013 for the production of commercials; and (3) Travel to New York (January 30, 2014 – February 3, 2014). Potential top twenty (20) Semi-Finalists must sign and return the requested document within two (2) days of the date notice or attempted notice is sent. Failure to respond with the completed documentation within the required timeframe will result in disqualification from the Contest, and Sponsor may select an alternate Semi-Finalist based on the above judging criteria.

Sponsor will determine Semi-Finalist selection based on the scores from judging in combination with the results of the confidential background check. Sponsor reserves the right to select fewer than twenty (20) Semi-Finalists, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions.

Sweepstakes Drawings for Round 2: Administrator will randomly select the potential Weekly winners and the NYC Trip Prize winner from all eligible entries received during each applicable Entry Period of Round 2, on or around the dates listed in the chart above. Non-winning Weekly Entry Period entries will be included in subsequent Weekly Entry Period drawings. The potential winners will be notified by email or phone when selected.

7. Guidelines and Content Restrictions:

By uploading your Initial Submission and optional photo (herein "Optional Content") for Round 1 and additional Round 2 Submissions (if you are invited to participate) (herein collectively referred to as your Submissions), you agree that your Submission(s) conform to the Guidelines and Content Restrictions described below and that Sponsor, in its sole discretion, may remove your Submission(s) and disqualify you from the Contest if it believes that any of your Submissions fail to conform to these Guidelines and Restrictions.

8. Sponsor's Use of Submissions:

Uploading any Submission constitutes entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission. Released Parties (as defined in Section 15, below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Submissions, all of which will be void.

9. Round 3 - Sponsor's Global Employees Determine the Four (4) Finalists:

Confirmed top twenty (20) Semi-Finalists will be included in a world-wide Intuit employee vote on the dates set forth in the Contest chart in Section 4 above. Intuit employees will have the opportunity to review all Submissions provided by each of the twenty (20) Semi-Finalists and vote once for employee's favorite Small Business that each believes best represents Intuit. Any attempt by any Semi-Finalist to obtain votes by inappropriate means, including without limitation, offering prizes or other inducements to Intuit employees will void those votes for the Semi-Finalist and Semi-Finalist may be disqualified as determined by Sponsor in its sole discretion. The four (4) Semi-Finalists that receive the highest number of valid votes will be deemed the Finalists.

10. Round 3 - World-wide Public Vote to Determine the Contest Grand Prize Winner:

During the Public Voting phase, the general public will be invited and are permitted to visit www.SmallBusinessBigGame.com and vote for the Small Business that they believe is the best. Limit: Each person may vote one (1) time per day per Small Business during the Public Voting phase. The Small Business that receives the highest number of valid votes will be deemed the potential Contest Grand Prize winner and the remaining Finalists will be deemed the potential Runner-Up Prize winners. In the event of a tie, the Finalist who received the total final vote count first will be deemed the potential Grand Prize winner. Any attempt by any Finalist or voter to obtain votes by any fraudulent or inappropriate means, including without limitation, offering prizes or other inducements to members of the public as determined by Sponsor in its sole discretion, by using any automated program, by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void those votes for the Finalist and Finalist may be disqualified as determined by Sponsor in its sole discretion. Multiple votes received from any person or email address in excess of this stated number will be void. Sponsor reserves the right, in its sole discretion, to revise voting tallies should the voting appear to have been tampered with or manipulated in any way.

11. Requirements for Winners (Sweepstakes and Contest):

Potential winners will be notified by email or phone on or around the dates listed in the timing charts above in Section 4. Except where prohibited, each potential winner of a prize valued at $600 or more will be required to sign and return a Declaration of Compliance, Liability and Publicity Release ("Declaration") which must be received by Administrator, within five (5) days of the date notice or attempted notice is sent, in order to claim the prize. Winners of prizes valued at less than $600 may be required to provide their business addresses (for prize fulfillment purposes only) in order to claim the prize within the time frame requested in order to claim the prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration or provide any other requested information, within the required time period (as applicable), or the prize is returned as undeliverable, the potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner of any prize is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner. For the Sweepstakes, any alternate winners will be determined by random drawing from among all remaining eligible entries for the applicable drawing. For the Contest, the prize may be awarded to a runner-up, if any, in Sponsor’s sole discretion. Only three (3) alternate winners will be drawn after which the applicable prize will remain un-awarded. Non-Trip prizes will be fulfilled 8 – 10 weeks after conclusion of the Promotion.

TWENTY-FIVE (25) WEEKLY ENTRY PERIOD PRIZES FOR WEEK 1 – WEEK 5 (awarded five (5) per Weekly Entry Period): $1,000 grant to be used for your Small Business. Approximate Retail Value ("ARV"): $1,000.

TWO (2) WEEKLY ENTRY PERIOD PRIZES FOR WEEK 6 – WEEK 7 (awarded one (1) per Weekly Entry Period): An NFL football autographed by the football legend and coach, Jimmy Johnson. All features of the football will be determined by Sponsor in its sole discretion. Approximate Retail Value ("ARV"): $175.

Total ARV of Round 1 Sweepstakes Prizes: $25,350.

Round 2:

ONE (1) NYC TRIP PRIZE: A trip for Small Business owner or operator and a guest to New York, NY, fulfilled as a check for $12,850. ARV: $12,850.

THIRTY (30) WEEK 1 PRIZES: Twelve-month subscription to Intuit QuickBooks Online Essentials. Minimum systems requirements and license terms apply. ARV: $323.40. QuickBooks Online Essentials twelve-month licenses must be activated within 30 days from the date of receipt or prize will be forfeited.  Licenses may not be exchanged, transferred or resold and are subject to the QuickBooks Online Essentials Terms of Use and Privacy Policy. Winner is responsible for fees associated with any upgrades or additions. CONTEST

ONE (1) GRAND PRIZE: A trip for Small Business owner or operator and guest to New York, NY from January 30, 2013 - February 3, 2014. Prize package includes a party in Gramercy Park on February 2, 2014, media interviews, other promotional activities and the opportunity to meet best-selling author and celebrity entrepreneur Bill Rancic, and $2,570 that may be used for taxes. ARV: $8,570.

Winner's Small Business will also be highlighted in an Intuit TV commercial that is scheduled to air during the football game that will be aired on February 2, 2014. Intuit will have complete creative control over the content of this commercial.

THREE (3) RUNNER-UP PRIZES: A trip for winner and guest to New York, NY from January 30, 2013 - February 3, 2014. Prize package includes a party on February 2, 2014, media interviews, other promotional activities and the opportunity to meet best-selling author and celebrity entrepreneur Bill Rancic; and $2,570 that may be used for taxes. ARV: $8,570.

Winner's Small Business will also be highlighted in an Intuit TV commercial that will be scheduled to air on FoxSports1 in 2014. Intuit will have complete creative control over the content of this commercial.

For All Contest Prizes: Trip package includes round trip, coach-class air transportation for two (2) from a major airport near winner’s home to one (1) of the major airports that services the New York City, NY area (departure and arrival airports determined by Sponsor in its sole discretion); four (4) nights' accommodations at a hotel determined by Sponsor in its sole discretion (single room, double occupancy); and travel agent services. Winner must travel on from January 30, 2013 - February 3, 2014 or prize will be forfeited. Travel must be round trip. Sponsor will determine airline and flight itinerary in its sole discretion. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Travel companion must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for round trip air travel at Sponsor’s sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor is not responsible if party, media interviews, or the opportunity to meet Bill Rancic is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.

In addition each Contest winner will be required execute a standard SAG Commercials Contract, and will accept minimum scale compensation and talent residuals and will be bound by the terms and conditions of such Contract, including exclusivity. The approximate value of this contract will be determined by a variety of factors relating to the production. Sponsor is not responsible if commercials are not broadcasted in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion.

Sponsor will be responsible for all costs associated with the commercial, including but not limited to production, media spend, and (if applicable) net tax consequences to contest winners.

For All Prizes: Sponsor and Administrator are not responsible for complaints or issues regarding codes (claims that code is invalid, insufficient, etc.) and winner should address any such issues with the issuer of the code. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Prize Limit: One (1) Contest and one (1) Sweepstakes prize per person.

13. Publicity:

Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, Submission and/or prize information in connection with the Promotion for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

14. Transfer of Rights:

Without limiting the generality of these Official Rules, each winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to any and all Submissions and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Submission for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Each winner accepts and acknowledges that Sponsor shall not be obligated to use any Submissions and that Sponsor in its sole discretion shall have the right to refrain from using any Submissions. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Each winner will indemnify Sponsor, Released Parties (as defined in Section 15, below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

15. Release:

By receipt of any prize, winners agree to release and hold harmless the Sponsor, Administrator and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

16. General Conditions:

Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

17. Limitations of Liability:

Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Promotion; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Promotion, the uploading, the processing or judging of Submissions, the announcement of the prizes or in any Promotion-related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt or use or misuse of any prize (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third-party use of any Submission.

18. Disputes:

Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
